SunnValley LLC utilizes third-party providers including but not limited to hosting companies, domain registrars, payment processors, email platforms, analytics services, advertising networks, and software vendors.
SunnValley LLC does not control and is not responsible for the performance, policies, outages, pricing changes, suspensions, data practices, security breaches, or actions of any third-party provider. Any disruption, limitation, or loss caused by a third-party provider shall not constitute a breach by SunnValley LLC.
Users and clients agree to comply with the terms and policies of any applicable third-party provider.
6. No Guarantee of Results
Client acknowledges that website performance, search engine rankings, advertising results, traffic levels, revenue growth, and business outcomes depend on numerous external factors beyond the control of SunnValley LLC.
SunnValley LLC makes no guarantees regarding rankings, visibility, leads, conversions, revenue, or business growth.
7. Website Functionality and Technical Issues
Websites and digital platforms may experience downtime, errors, incompatibilities, hacking attempts, malware infections, software bugs, or plugin conflicts.

8. Client Responsibilities and Compliance
Client is solely responsible for ensuring that its website and business activities comply with all applicable laws and regulations, including but not limited to data protection laws, advertising regulations, accessibility standards, and industry-specific requirements.
SunnValley LLC shall not be responsible for determining or ensuring legal compliance on behalf of any client.
9. Limitation of Liability
To the maximum extent permitted by law, SunnValley LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of business, reputational harm, loss of data, or business interruption.
In no event shall the total liability of SunnValley LLC exceed the total amount paid by the client to SunnValley LLC within the three months preceding the event giving rise to the claim.
10. Indemnification
Client agrees to indemnify, defend, and hold harmless SunnValley LLC from and against any claims, damages, losses, liabilities, or expenses arising out of or related to the client’s content, business practices, legal violations, misuse of services, or breach of these Terms.
11. Force Majeure
SunnValley LLC shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, government actions, labor disputes, internet outages, or third-party service interruptions.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict of law principles.
13. Dispute Resolution
Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in New Hampshire. By using this website or services, you consent to jurisdiction in such courts.
